INFORMATION ABOUT THE ACTIVITIES OF JSC "UZTRADE"

Setting up of JSC "UZTRADE": Based on the Decree of the President of the Republic of Uzbekistan No. PP-2463 dated December 31, 2015 "On measures to further optimize and improve the efficiency of the system of the Ministry of Foreign Economic Relations of the Republic of Uzbekistan" and No. PP-3009 dated May 26, 2017 "On measures to further enhancing the activity of the Cabinet of Ministers of the Republic of Uzbekistan, a foreign trade company, “Uztadbirkorexport” JSC, was created . Registration of a legal entity was carried out on June 12, 2016. The sole shareholder of the company since 04/06/2022 is the Agency for the Encouragement and Promotion of Exports under the Ministry of Investment and Foreign Trade of the Republic (hereinafter referred to as the Agency). The authorized capital of the JSC consists of funds transferred at nominal value - a total of 12.78 billion soums, including “Uzinterimpex” JSC - 6.484 billion soums and “Uzmarkazimpex” JSC - 6.296 billion soums. The charter capital was formed at the expense of the state share by organizing the primary issue of shares. According to the Resolution of the Cabinet of Ministers of the Republic of Uzbekistan No. 125 dated April 26, 2016. "On measures to implement Presidential Resolution No. 2463 of December 31, 2015 “On measures to further optimize and improve the efficiency of the system of the Ministry of Foreign Economic Relations of the Republic of Uzbekistan”, it was instructed to determine the market price of shares of “Uzinterimpex” JSC and “Uzmarkazimpex” JSC. For this purpose, an independent assessment and determination of their market capitalization was organized. In general, the approximate difference between the nominal and market price of the shares of “Uzzinterimpex” JSC and “Uzmarkazimpeks” JSC transferred to the balance sheet of “UZTRADE” JSC amounted to 46.947 billion soums. On October 19, 2021, the Ministry of Finance of the Republic of Uzbekistan organized a secondary placement of 46,947,336,020 units of shares with a par value of 1 soum each. Based on decision No. Q0823-2 of the Agency of the Republic of Uzbekistan for the Management of State Assets, all these shares were transferred to the disposal of the State. As of January 1, 2022, the charter capital is 59.728 billion soums (100% state share). After the merger of newly created joint stock companies with a par value of 1 share - 1 soum and their conversion into shares of “UZTRADE” JSC, after completion of this process, the total charter capital will be 111 billion 374 million soums. Including: - Agency for Support and Encouragement of Exports of the Republic of Uzbekistan – 70.023 billion soums (62.9%); - “Uzsanoateksport” JSC – 8.224 billion soums (7.4%); - Legal entities – 8.221 billion soums (7.4%); - Individuals – 24.905 billion soums (22.4%).
